These Terms & Conditions ("Agreement") set out the basis on which Nakhon Counsel provides inheritance law services to clients in Thailand. By engaging our services or contacting us with a view to doing so, you acknowledge that you have read and understood these terms. If anything is unclear, we are happy to explain before any engagement begins.
Definitions
Throughout this Agreement, the following terms carry the meanings set out below:
- "Firm" / "We" / "Us" / "Our"
- Nakhon Counsel, a legal practice registered in Thailand and operating from 66 Mittraphap Road, Mueang, Khon Kaen 40000.
- "Client" / "You" / "Your"
- Any individual or entity who engages the Firm for legal services, submits an enquiry, or accesses this website.
- "Services"
- The inheritance-related legal services offered by the Firm, including the Inheritance Review Meeting, Estate Settlement Support, and Full Inheritance Dispute Handling.
- "Content"
- All text, documents, advice, written summaries, and materials produced by the Firm in the course of providing Services.
- "Agreement"
- This Terms & Conditions document together with any engagement letter or service agreement signed between the Firm and a Client.
Acceptance of Terms
By submitting an enquiry form, attending a consultation, or entering into a service agreement with us, you confirm that:
- You are at least 18 years of age, or are acting on behalf of a legal entity with the authority to do so.
- You have the legal capacity to enter into a binding agreement under Thai law.
- You have read these terms and agree to be bound by them.
If you are acting on behalf of an estate or another party, you represent that you have the authority to bind that party to these terms.
Service Description
Nakhon Counsel offers the following legal services in connection with inheritance and estate matters under Thai law:
Inheritance Review Meeting
A private consultation covering the estate and its likely path forward. Includes a written summary. ฿4,300.
Estate Settlement Support
Managed administration of filings, documents, and correspondence on the client's behalf. ฿9,600.
Full Dispute Handling
Complete representation for contested inheritance matters through to resolution. ฿17,000.
Services are available to clients primarily located in Thailand. Where a matter involves cross-border elements, the Firm will advise on scope and any limitations at the outset.
Client Responsibilities
To enable us to assist you properly, you agree to:
- Provide accurate, complete, and current information relating to the estate and any relevant parties.
- Inform us promptly of any changes in circumstance that may affect the matter.
- Respond to reasonable requests for information or documentation within an agreed timeframe.
- Use our services and any materials provided only for lawful purposes in connection with your own inheritance matter.
- Treat our staff and representatives with respect in all communications.
You agree not to misrepresent information, use our services to facilitate unlawful activity, or share confidential advice with parties who have an adverse interest in the matter without our prior written consent.
Intellectual Property
All written materials, templates, standard documents, and general legal frameworks developed by Nakhon Counsel remain the intellectual property of the Firm.
Advice and written summaries prepared specifically for your matter are provided to you under a limited, non-transferable licence for your personal use in connection with that matter only. They may not be reproduced, shared commercially, or repurposed without our written consent.
Documents and materials you supply to us in connection with your matter remain your property. We hold them only for the purpose of providing Services and in accordance with our data retention obligations under Thai law.
Payment Terms
All fees are quoted and payable in Thai Baht (฿). Applicable fees are as stated in the service agreement provided at engagement.
- Inheritance Review Meeting (฿4,300): Payable prior to or at the time of the meeting.
- Estate Settlement Support (฿9,600): A deposit is requested at engagement; the balance is due on completion unless otherwise agreed.
- Full Inheritance Dispute Handling (฿17,000): A staged payment schedule will be set out in the engagement letter.
Payment may be made by bank transfer or other methods confirmed at the time of engagement. Receipts are provided upon payment.
Cancellation and Refunds: If you need to cancel, we ask that you let us know as early as possible. For consultation meetings, cancellations made at least 48 hours in advance will receive a full refund. For ongoing service engagements, fees for work already completed are non-refundable. We handle such situations thoughtfully, particularly where personal circumstances are involved.
Service-Specific Terms
The following terms apply to the delivery of our legal services:
- Scope: The scope of work for each engagement is defined in the service agreement or engagement letter. Work outside that scope may require a separate arrangement and additional fees.
- Timeline: Indicative timeframes are provided in good faith. Actual duration may be affected by court schedules, third-party response times, and the complexity of the estate.
- Changes to scope: If the scope of your matter changes materially, we will discuss revised terms with you before proceeding.
- Closing report: For dispute handling engagements, a written closing report is provided on conclusion of the matter.
- Third-party costs: Court filing fees, official translation charges, and other disbursements are separate from our service fees and will be communicated transparently in advance.
Confidentiality
We treat all information shared with us in the course of an engagement as strictly confidential. We will not disclose details of your matter to any third party without your consent, except where we are required to do so by law or a court order, or where disclosure is necessary to carry out the services (for example, communicating with a court registry on your behalf).
This duty of confidentiality continues after the conclusion of our engagement. Our obligations in this respect are in addition to, and consistent with, those applicable under Thai law.
Disclaimers
Legal advice is provided based on the facts and documents you share with us and the state of Thai law at the time of the engagement. We cannot account for facts not disclosed to us or for changes in law that occur after advice is given.
While we bring care and experience to every matter, the outcome of legal proceedings and estate settlements depends on many factors outside our control, including the decisions of courts, other parties, and government bodies. We do not and cannot assure any particular outcome.
General information on this website is provided for orientation purposes only and does not constitute legal advice. You should not act on website content alone without seeking specific advice in relation to your own circumstances.
Limitation of Liability
To the fullest extent permitted by Thai law, the Firm's total liability to you in connection with any engagement shall not exceed the fees paid by you for the relevant service.
We are not liable for indirect, consequential, or incidental losses, including lost time, lost opportunity, or emotional distress, except where such liability cannot be excluded under applicable law.
Nothing in this Agreement limits our liability for fraud, gross negligence, or any other matter where limitation is not permitted by law.
Indemnification
You agree to indemnify and hold harmless Nakhon Counsel, its staff, and its representatives from any claims, losses, or costs arising from your breach of this Agreement, your provision of inaccurate or incomplete information, or your use of our services in an unlawful manner.
Termination
By you: You may end our engagement at any time by notifying us in writing. Fees for work completed prior to termination remain payable.
By us: We may end an engagement where continued representation would be improper under professional rules, where you have breached a material term of this Agreement, or where there is an irreconcilable breakdown in the working relationship. We will give reasonable notice and, where possible, assist with an orderly transition.
Survival: Obligations relating to confidentiality, payment, intellectual property, and dispute resolution survive termination.
Dispute Resolution
This Agreement is governed by the laws of Thailand.
If a disagreement arises between us, we encourage you to raise it with us directly in the first instance. We will make every reasonable effort to resolve concerns informally and promptly.
If informal resolution is not possible, disputes will be subject to the jurisdiction of the courts of Khon Kaen Province, Thailand, unless another forum is required by law.
General Provisions
- Entire Agreement: This document, together with any signed engagement letter, constitutes the full agreement between us for the services described.
- Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any provision on a given occasion does not waive our right to enforce it on another.
- Assignment: You may not transfer your rights or obligations under this Agreement without our written consent. We may transfer obligations with equivalent notice to you.
- Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.
Changes to These Terms
We may update these terms from time to time. If changes are material, we will post a notice on this website and update the "Last Updated" date at the top of this page.
For existing engagements, changes to terms do not apply retrospectively. Your continued use of this website or engagement of our services after updated terms are posted constitutes acceptance of those terms for any new matter.
